1. Acceptance of Terms
By ticking the mandatory consent box during registration and by accessing or using The Playlist (the "Platform"), you agree to be bound by these Terms of Service. The Platform provides a music discovery service where Artists may promote short audio snippets and Curators may discover them.
2. User Accounts and Eligibility
The Platform currently operates as a free, global service. To access its core functionalities, you must create an account using a valid email address. You agree to provide accurate information and keep it updated.
We strictly prohibit the creation of multiple accounts to artificially manipulate the Platform's algorithms (Sybil attacks) or the use of disposable email addresses. We deploy automated behavioral analysis tools to detect such fraudulent actions.
3. The "Playpoints" Ecosystem
The Platform utilizes a virtual currency known as "Playpoints" to govern visibility.
3.1. Acquisition and Utility
Playpoints are earned passively by listening to audio streams. Artists may expend Playpoints to activate their audio snippets for discovery by other users.
3.2. Valuation and Restrictions
Playpoints hold no monetary value, are not legal tender, and are strictly non-transferable. The Platform reserves the right to modify the earning rate, adjust balances, or revoke Playpoints entirely to prevent ongoing abuse or fraud.
3.3. No Guarantee of Outcomes
The Platform serves purely as a discovery conduit. We do not guarantee, represent, or warrant any specific level of engagement, listenership, commercial success, or career advancement. The algorithmic distribution mechanism is provided "as is," and we are not liable for any perceived lack of exposure.
4. User-Generated Content and DSA Compliance
In accordance with the Digital Services Act (DSA), we provide mechanisms to manage user-generated content, including custom audio uploads (limited to 60 seconds) and profile elements.
4.1. Representations and Warranties
When uploading an audio snippet, the Artist warrants that they own all necessary copyrights, neighboring rights, and licenses required for the public performance and distribution of the content.
4.2. Promotional License
By submitting your music and creating a profile, you grant the Platform a worldwide, royalty-free, non-exclusive license to use, reproduce, broadcast, and publicly display the uploaded audio snippets, your artist name, and your profile image. This license is exclusively for the purpose of promoting the artist and the Platform itself across our marketing channels, applications, and social media. The Artist understands and accepts that their music and image are used by the Platform with the sole consideration of promoting their work on the Platform.
4.3. Notice and Action Mechanisms
The Platform relies on community reporting for illegal or infringing content. Users may report any violation directly within the application. Upon receiving a valid notice, we will act expeditiously to remove or disable access to the contested content.
4.4. Security and Piracy Acknowledgment
While we implement robust security protocols to prevent unauthorized access, any audio file distributed over the Internet may be subject to technical circumvention. Artists acknowledge and assume this inherent risk. We disclaim all liability for any third-party piracy or unauthorized downloading of your uploaded content.
4.5. Indemnification (Hold Harmless)
You agree to defend, indemnify, and hold harmless the Platform, its creator, affiliates, operators, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right relating to your uploaded audio or profile content.
4.6. Absolute Right of Removal and Termination
We reserve the absolute right, at our sole discretion and without prior notice or liability, to reject, refuse to post, or remove any material (including audio snippets, comments, and profile images) submitted by you. Furthermore, we may suspend or terminate your account at any time, for any reason or no reason whatsoever.
4.7. Repeat Infringer Policy
In accordance with applicable intellectual property laws (including the Digital Services Act and the DMCA), we have adopted a policy of terminating, in appropriate circumstances and at our sole discretion, users who are deemed to be repeat infringers of copyrights.
5. Algorithmic Integrity and Disclaimers
To preserve the fairness of the discovery process, the Platform employs an automated behavioral detection system ("Shadowban").
If the system detects anomalous voting patterns designed to unfairly boost or prejudice specific artists, progressive sanctions will be applied, ranging from the silent nullification of your votes to permanent account suspension.
6. Liability, Warranties, and General Provisions
6.1. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6.2. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY BELGIAN LAW, THE PLATFORM CREATOR AND OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE PLATFORM EXCEED ONE HUNDRED EUROS (€100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS, WHICHEVER IS LESS.
6.3. Force Majeure
We shall not be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond our reasonable control, including, without limitation, internet failures, computer equipment failures, telecommunication equipment failures, or third-party API outages (e.g., Spotify API downtime).
6.4. Independent Status and Severability
You and the Platform are independent entities. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
7. Modifications to the Terms
We may update these Terms of Service at any time. Significant changes will be communicated via the application or the email address associated with your account. Continued use of the Platform following such modifications constitutes your acceptance of the revised Terms.
8. Governing Law and Dispute Resolution
8.1. Jurisdiction
These Terms of Service and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the internal laws of Belgium, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the competent courts of Belgium. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
8.2. Class Action Waiver
WHERE PERMITTED UNDER APPLICABLE LAW, YOU AND THE PLATFORM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
8.3. Controlling Language
These Terms of Service were originally drafted in the English language. If they are translated into any other language, whether by the Platform for your convenience or by automated browser translation tools, the English version shall exclusively govern and prevail in the event of any conflict, discrepancy, or dispute regarding their interpretation.
